1. Acceptance of Terms

By accessing or using the COBOL Bridge platform and services ("Services") provided by CSGA Global ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms apply to all visitors, users, and subscribers of the platform.

2. Description of Services

COBOL Bridge provides an AI-powered COBOL modernization platform that includes:

• Automated COBOL code analysis, translation, and modernization tools.
• ISO 20022 financial messaging compliance bridge.
• Post-quantum cryptography readiness assessment.
• Regulatory compliance fingerprinting and audit tools.
• Interactive dashboards for project tracking and risk management.
• Technical documentation and migration planning resources.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.

3. User Accounts

To access certain features of the platform, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice where practicable.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights.
• Upload malicious code, viruses, or any harmful software.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Use automated tools to scrape, crawl, or extract data from our Services without permission.
• Interfere with or disrupt the integrity or performance of the platform.
• Resell, sublicense, or redistribute our Services without written authorization.

5. Intellectual Property

All content, features, and functionality of the COBOL Bridge platform — including but not limited to software, algorithms, text, graphics, logos, and documentation — are owned by CSGA Global and protected by international copyright, trademark, and intellectual property laws.

You retain ownership of any COBOL source code and proprietary data you upload to the platform. By uploading content, you grant us a limited, non-exclusive license to process and analyze that content solely for the purpose of providing our Services to you. We will not use your uploaded code for any other purpose without your explicit consent.

6. Payment Terms

Certain features of the platform require a paid subscription. By selecting a paid plan, you agree to:

• Pay all fees associated with your selected subscription tier.
• Provide valid and current payment information through our payment processor, Stripe.
• Accept that subscription fees are billed in advance on a recurring basis (monthly or annually).
• Understand that fees are non-refundable except as required by applicable law or as stated in our refund policy.

We reserve the right to change subscription pricing with 30 days advance notice. Price changes will take effect at the start of your next billing cycle.

7. Service Level and Availability

We strive to maintain high availability of our platform but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for any downtime, data loss, or service interruption caused by factors beyond our reasonable control, including but not limited to network failures, third-party service outages, or force majeure events.

8. Limitation of Liability

To the maximum extent permitted by applicable law, CSGA Global and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Services.

Our total aggregate liability for any claims arising from these Terms or your use of the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless CSGA Global from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate the service relationship at any time. You may cancel your subscription through your account settings or by contacting us. Upon termination:

• Your access to paid features will continue until the end of the current billing period.
• You may request export of your data within 30 days of termination.
• We will delete your uploaded source code and project data within 30 days of account closure upon request.
• Provisions that by their nature should survive termination shall remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CSGA Global is registered, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved through good-faith negotiation first, followed by binding arbitration if necessary.

12. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice on our platform at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
